Terms of Service

These Terms of Service ("Terms") govern your use of the FinComp service (the "Service"), operated by Priotech ("we", "us"). By signing up or using the Service, you ("Customer") agree to these Terms.

1. The Service

FinComp provides a cloud-hosted dashboard for multi-ERP financial operations, including cashflow forecasting, accounts receivable, OCR vendor bill processing, and customizable BI reporting. The Service integrates with third-party ERPs and accounting systems you authorize.

2. Account

• You must be at least 18 and authorized to bind your organization.
• You are responsible for keeping account credentials secure and for all activity under your account.
• Notify us promptly at support@fin-comp.com of any unauthorized access.

3. Acceptable use

You agree not to:

• Reverse engineer, decompile, or scrape the Service beyond what its public APIs expose.
• Use the Service to violate any law or third party's rights.
• Upload malicious content, viruses, or attempt to compromise other tenants' data.
• Resell or sublicense the Service without our written consent.
• Exceed published rate limits or run automated load that materially degrades the Service.

4. Your data, your ownership

You own all data you submit to the Service or that we sync on your behalf from your ERPs. You grant us a non-exclusive license to process this data solely to provide and improve the Service.

You can export your data at any time via the Service. You can request deletion of all your data by emailing privacy@fin-comp.com.

5. Third-party services

The Service depends on third-party providers (Amazon Web Services, Intuit, optionally OpenAI). We are not responsible for outages, data loss, or policy changes of those providers. Where you authorize FinComp to access a third-party system (e.g. QuickBooks Online), your use of that third-party system is governed by their own terms.

6. Fees and payment

• Subscription fees are billed monthly or annually in advance.
• Fees are non-refundable except where required by law.
• We may revise pricing with at least 30 days' notice for subsequent billing periods.
• Late payments may result in suspension after 14 days' notice.

7. Trial period

Free trials, if offered, end automatically at the date stated at signup. We do not charge cards on file without your explicit consent to convert to a paid plan.

8. Cancellation

You may cancel at any time from your account settings or by emailing support@fin-comp.com. Cancellation takes effect at the end of the current billing period. We do not pro-rate refunds for partial periods.

9. Service availability

We target 99.5% monthly availability for paid plans, excluding scheduled maintenance and force majeure. We do not guarantee uninterrupted service. Enterprise plans may include a separate SLA.

10. Confidentiality and security

We will treat your data as confidential. We implement industry-standard security controls (encryption in transit and at rest, tenant isolation, access logging, principle of least privilege). See our Privacy Policy for details.

11. Warranty disclaimer

The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that any data syncs will be 100% complete or accurate (we depend on the third-party ERPs).

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.

13. Indemnification

You agree to indemnify us against claims arising from your misuse of the Service, your violation of these Terms, or your violation of third-party rights.

14. Termination

We may suspend or terminate your access for material breach of these Terms with notice and opportunity to cure where reasonable. On termination, your right to use the Service ceases and we will delete your data per our Privacy Policy unless retention is required by law.

15. Governing law

These Terms are governed by the laws of the State of Israel. Any dispute will be resolved in the courts of Tel Aviv, Israel, unless a different forum is required by mandatory law in your jurisdiction.

16. Changes to these Terms

We may update these Terms with at least 14 days' notice for material changes. Continued use after the effective date constitutes acceptance.
